Steerco Terms of Service

By accessing, browsing, or using Steerco (including any features, content, or services), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using Steerco on behalf of a company, organization, or entity, you represent and warrant that you have the authority to bind that organization to these Terms.

These Terms apply to all visitors, users, and anyone accessing Steerco through any device or platform. Steerco reserves the right to modify these Terms at any time. Your continued use following such modification constitutes acceptance of the updated Terms.

Steerco provides an AI-powered presentation automation platform designed to help enterprise Go-To-Market (GTM) teams create, customize, and deploy sales presentations efficiently. The platform integrates with 150+ enterprise applications including Salesforce, HubSpot, Gong, Chorus, Amplitude, Gainsight, and others, to deliver intelligent automation and insights.

The Services include, but are not limited to:

• AI-driven presentation generation and customization
• Integration with enterprise CRM and business intelligence platforms
• Presentation analytics and performance tracking
• Collaboration and sharing features for team-based workflows
• Technical support and documentation

Steerco provides Services on an "as is" basis. We are continuously developing and improving the platform, and features may change. Enterprise customers with an executed MSA should refer to that agreement for specific service level agreements, features, and support terms.

To access certain features of Steerco, you may be required to create an account. You agree to:

• Provide accurate, complete, and current information during registration
• Maintain the confidentiality of your account credentials and passwords
• Be responsible for all activity that occurs under your account
• Notify Steerco immediately of any unauthorized use of your account
• Comply with all applicable laws and these Terms

You may not create an account if you are under the age of 18 or if you are prohibited by law from accessing Steerco. Steerco reserves the right to reject, suspend, or terminate any account that violates these Terms.

You agree not to use Steerco in any manner that:

• Violates any applicable law, regulation, or third-party rights
• Infringes on intellectual property rights or privacy of others
• Transmits malware, viruses, or malicious code
• Engages in harassment, threats, or defamation
• Attempts to gain unauthorized access or disrupt system integrity
• Uses Steerco for competitive analysis, reverse engineering, or benchmarking without consent
• Creates multiple accounts to circumvent restrictions or Terms
• Uses automated tools, bots, or scripts to access Steerco (except as authorized)
• Engages in any form of fraud, deception, or misrepresentation
• Uses Steerco in violation of applicable export controls or sanctions

Steerco may monitor use to ensure compliance. Violations may result in account suspension or termination at Steerco's sole discretion.

Steerco Materials. All content, software, code, designs, graphics, functionality, features, and documentation provided by Steerco (collectively, "Steerco Materials") are the exclusive property of Steerco Analytics, Inc. or its licensors. Steerco Materials are protected by copyright, trademark, trade secret, and other intellectual property laws. You retain no ownership or intellectual property rights in Steerco Materials.

License Grant. Subject to these Terms and payment of applicable fees, Steerco grants you a limited, non-exclusive, non-transferable, revocable license to access and use Steerco solely for your internal business purposes. This license does not permit you to:

• Sublicense, sell, rent, or lease Steerco or Steerco Materials
• Copy, modify, adapt, or create derivative works
• Reverse engineer, decompile, disassemble, or attempt to derive source code
• Remove or alter any proprietary notices, labels, or marks
• Use Steerco to develop competing products or services

Your Trademarks and Logos. If you provide your company name, logo, or trademarks for use in connection with Steerco (e.g., for customized presentations), you grant Steerco a non-exclusive license to use such marks solely to provide the Services to you.

Customer Data Ownership. You retain all right, title, and interest in any content, data, or materials you upload, create, or transmit through Steerco (collectively, "Customer Data"), including presentations, documents, files, and account information. Customer Data does not include data processed by Steerco in performing the Services.

License to Steerco. You grant Steerco a limited license to access, use, process, and display Customer Data solely to provide the Services, comply with law, enforce these Terms, and protect the safety and rights of others. This license terminates upon termination of your account, provided Steerco may retain Customer Data as required by law.

Resultant Data. Steerco may collect, use, and retain aggregated, anonymized, and de-identified data derived from your use of Steerco (including presentation performance metrics, feature usage, and anonymized behavioral data—"Resultant Data")). Resultant Data does not identify you or your organization and may be used by Steerco for product improvement, analytics, research, and service optimization without restriction. For enterprise customers with an MSA, Resultant Data usage is subject to that agreement.

Data Security. Steerco employs industry-standard security measures to protect Customer Data. However, no security system is impenetrable. Steerco is not liable for unauthorized access, loss, or corruption of Customer Data except as expressly provided in an executed MSA.

Compliance with Laws. Steerco may disclose Customer Data if required by law, court order, or government request. We will attempt to notify you of such disclosures where legally permissible.

Steerco integrates with over 150 third-party applications and services, including Salesforce, HubSpot, Gong, Chorus, Amplitude, Gainsight, and others. Your use of these integrations is subject to the third-party provider's terms of service and privacy policies.

Authorization and Data Transfer. When you authorize Steerco to integrate with a third-party service, you grant Steerco permission to access certain data from that service on your behalf. Steerco will use such data solely to provide the Services. You are responsible for reviewing the privacy and security practices of third-party services.

No Liability. Steerco is not responsible for the operation, availability, security, or content of third-party services. Steerco does not control or endorse third-party services and is not liable for any loss, damage, or disruption caused by third-party services or their providers.

Discontinuation. Steerco may discontinue, modify, or restrict access to third-party integrations at any time without notice, due to changes in third-party APIs, licensing, or business decisions.

Fees. If you subscribe to a paid plan, you agree to pay all applicable subscription fees according to the pricing plan selected. Fees are exclusive of applicable sales, use, VAT, GST, or similar taxes, which you are responsible for paying.

Billing. Steerco will bill you automatically on a recurring basis (monthly, annually, or as specified in your plan) using the payment method you provide. You authorize Steerco to charge your account for all fees due.

Non-Refundable. All fees are non-refundable except as required by law or as expressly stated in an executed MSA. Refunds of overpayments, if applicable, will be issued within 30 days of written request.

Price Changes. Steerco may change subscription prices upon 30 days' written notice. Changes will apply to your next billing period. If you do not accept a price increase, you may cancel your subscription before the increase takes effect.

Late Payment. If payment is not received by the due date, Steerco may charge late fees at the rate specified in your agreement (not to exceed the maximum allowed by law) and may suspend access until payment is made.

Enterprise Arrangements. For enterprise customers, payment terms are governed by an executed MSA or order form. In case of conflict between these Terms and an MSA, the MSA controls.

AS-IS and AS-AVAILABLE. Steerco is provided "as is" and "as available" without warranties of any kind. Steerco makes no representation or warranty regarding:

• Uninterrupted, error-free, or secure operation
• Accuracy, completeness, or timeliness of content or data
• Fitness for a particular purpose or merchantability
• Freedom from viruses, malware, or malicious code
• Performance, reliability, or availability

No Professional Advice. Steerco is not a substitute for professional legal, financial, business, or technical advice. Any information or recommendations provided are general in nature and should not be relied upon as professional advice. You should consult qualified professionals before making business decisions.

Third-Party Content. Steerco may display content from third parties or links to third-party services. Steerco does not control, endorse, or assume responsibility for third-party content. Your use of third-party services is at your own risk and subject to their terms and policies.

DISCLAIMER OF WARRANTIES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, STEERCO DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE. SOME JURISDICTIONS DO NOT ALLOW DISCLAIMERS OF IMPLIED WARRANTIES; TO THE EXTENT PROHIBITED, ANY IMPLIED WARRANTY IS LIMITED TO THE DURATION OF THESE TERMS OR 30 DAYS, WHICHEVER IS SHORTER.

LIMITATION OF DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER STEERCO NOR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS SHALL BE LIABLE FOR:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY
• COST OF SUBSTITUTE GOODS OR SERVICES
• REPUTATIONAL OR GOODWILL HARM

THIS LIMITATION APPLIES EVEN IF STEERCO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

CAP ON LIABILITY. EXCEPT FOR CLAIMS ARISING FROM (I) YOUR BREACH OF THESE TERMS, (II) YOUR INFRINGEMENT OF STEERCO'S INTELLECTUAL PROPERTY RIGHTS, OR (III) CLAIMS EXCLUDED BY LAW, STEERCO'S TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE LESSER OF (A) THE AMOUNT YOU PAID STEERCO IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100. For enterprise customers with an MSA, the liability cap in that agreement applies.

Essential Terms. You acknowledge that this limitation of liability is essential to the pricing of Steerco and that Steerco would not provide Steerco without this limitation.

You agree to indemnify, defend, and hold harmless Steerco and its officers, directors, employees, agents, and licensors from and against any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from or related to:

• Your use of or access to Steerco
• Your violation of these Terms or applicable law
• Customer Data you upload, transmit, or store in Steerco
• Your infringement or violation of any third-party rights
• Your interaction with other users or third-party services

Steerco will provide you with prompt written notice of such claims (provided that failure to provide prompt notice shall not relieve you of indemnification obligations except to the extent you are prejudiced by the delay). You will have the right, at your expense and with counsel of your choice, to control the defense of any third-party claim, provided that you do not settle any claim without Steerco's prior written consent.

Termination by You. You may cancel your account and terminate these Terms at any time by notifying Steerco in writing at [email protected]. Upon cancellation, your right to access Steerco terminates immediately. You remain liable for fees incurred prior to termination.

Termination by Steerco. Steerco may suspend or terminate your account or access to Steerco without notice if:

• You violate these Terms or applicable law
• You breach your payment obligations and fail to cure within 15 days of notice
• Your use of Steerco poses a security threat or disrupts the platform
• Steerco ceases to offer Steerco or a feature
• Legally required to do so

Effect of Termination. Upon termination:

• Your license to use Steerco terminates immediately
• You remain liable for all outstanding fees
• Steerco may delete Customer Data after a reasonable retention period (typically 30-90 days)
• Sections 5, 6, 9, 10, 11, and 13-15 survive termination

Enterprise Termination. For enterprise customers with an MSA, termination provisions in that agreement apply and take precedence.

Governing Law. These Terms are governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflicts of law principles. The application of the United Nations Convention on Contracts for the International Sale of Goods is excluded.

Jurisdiction and Venue. You consent to the exclusive jurisdiction of the state and federal courts located in Maricopa County, Arizona, and agree that any legal action or proceeding arising under or relating to these Terms shall be brought exclusively in those courts. You waive any objection to venue and any claim of inconvenient forum.

Dispute Resolution. Before initiating legal proceedings, you agree to attempt to resolve any dispute informally by contacting Steerco at [email protected]. If informal resolution fails, you may pursue legal remedies as provided in this section.

No Class Actions. You agree that any legal proceeding shall be brought on an individual basis and not as a class action, class arbitration, representative action, or collective action. You waive your right to participate in class actions against Steerco.

Enterprise Disputes. For enterprise customers with an MSA, dispute resolution provisions in that agreement apply instead of this section.

Steerco may modify these Terms at any time. Significant changes will be posted on the Steerco website with a notice that the Terms have been updated. The "Last Updated" date at the top of these Terms will be revised to reflect changes. Your continued use of Steerco following the posting of modified Terms constitutes your acceptance of the changes.

If you do not agree to modified Terms, you must discontinue your use of Steerco. For enterprise customers with an MSA, amendments to these Terms may require mutual written consent as specified in that agreement.
